Terms of use
Last updated: October 23, 2026
These Terms of Use ("Terms") govern your access to and use of clearsred.com (the "Site"), including its guides, calculators, checkers and other free tools (together, the "Free Tools"). The Site is operated by Futurist IP, a corporation incorporated in Ontario, Canada ("we", "us", "our"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
1. Information only, not advice
The Site and the Free Tools provide general information about the Scientific Research and Experimental Development (SR&ED) program and related tax credits. They are not tax, accounting, legal or other professional advice, and they do not take your specific circumstances into account. Rules, rates and administrative practices change. Before acting, confirm with a qualified advisor and with the Canada Revenue Agency ("CRA") or the relevant provincial authority.
2. Estimates from the Free Tools
Results from the Free Tools are estimates based on the information you enter and on simplified assumptions described on each tool. They are not a determination of eligibility, a guarantee of any credit or refund, or a quote for services. Actual outcomes depend on CRA's assessment of your claim.
3. No client relationship from using the Site
Using the Site, a Free Tool or our contact form does not create a client, advisory or fiduciary relationship. Any services we provide are governed by a separate written engagement letter signed by both parties, and that letter prevails over these Terms for those services.
4. Independence
ClearSRED is independent. We are not affiliated with, endorsed by or acting on behalf of the CRA or any government body. Form names and numbers (such as T661 and T1322) are referenced only to describe the government programs they relate to.
5. Your responsibilities
You agree to use the Site lawfully, to provide accurate information when you contact us, and not to interfere with the Site's operation, attempt to gain unauthorized access, scrape it at a volume that degrades service, or submit malicious content. Please do not send tax returns, financial statements or other sensitive documents through the contact form.
6. Intellectual property
The Site's content, design, text, tools and code are owned by us or our licensors and protected by copyright and other laws. You may view, print and share pages for your own non-commercial or internal business use, and quote short excerpts with a link to the source page. Any other reproduction or commercial use requires our written permission.
7. Third-party links
The Site links to third-party websites, including CRA and other government pages. We are not responsible for their content, availability or practices.
8. Disclaimer of warranties
The Site and the Free Tools are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.
9. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, tax credits, refunds, data or goodwill, arising out of or relating to your use of the Site or the Free Tools. Our total liability for any claim relating to the Site or the Free Tools is limited to one hundred Canadian dollars (CAD $100). Nothing in these Terms limits liability that cannot be limited by law.
10. Indemnity
You agree to indemnify us against claims, losses and costs (including reasonable legal fees) arising from your misuse of the Site or your breach of these Terms.
11. Changes
We may update these Terms from time to time. The "Last updated" date shows the current version. Continued use of the Site after a change means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts located in Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, subject to any mandatory consumer protection rights you may have.
